In short
- Saldiqo is only meant for companies, the self-employed, freelancers and organisations such as associations and foundations, not for private individuals. You must be at least 18 years old. You confirm both when you register.
- Using it is currently free. The savings check is included: every week it shows you, for the company you create when registering, where you probably pay too much, some hints with offers from partners (advertising). You can object to it at any time without giving reasons and switch it off without losing any other feature. We are financed among other things by partner offers that you request yourself.
- Saldiqo helps with calculating and preparing, but it does not replace tax, legal, insurance or financial advice.
- Your data belongs to you. You can export it at any time and delete your account yourself.
- What you publish in the template market may be used free of charge by all Saldiqo users. We may remove content that breaks the rules.
- You must keep invoices and receipts yourself for as long as the law requires.
The full text below is what applies.
§ 1 Scope and eligible users
(1) These terms govern the use of the Saldiqo software (website, web app, installable app and programs for Mac and Windows, together the “service”) between Marlon Güttler, Saldiqo, c/o BFG Mediagroup, Bändelstockweg 20, 88326 Aulendorf (“Saldiqo”, “we”) and the customer.
(2) The service is aimed exclusively at entrepreneurs within the meaning of section 14 of the German Civil Code (BGB), legal entities under public law, special funds under public law and legal entities under private law and partnerships with legal capacity that do not act as consumers (for example registered associations and foundations, together “organisations”). By registering, the customer expressly confirms that they act as an entrepreneur (section 14 BGB), on behalf of a business, or on behalf of an association, a foundation or another organisation, and not as a consumer. This also applies to people who act on behalf of a business without being an entrepreneur themselves (for example employees the customer invites under § 3(3)). Consumers within the meaning of section 13 BGB may not use the service. We may ask for suitable proof of entrepreneur status.
(3) Anyone who creates an account must be at least 18 years old and have full legal capacity and confirms this when registering. Anyone acting for a company must be authorised to represent it.
(4) Deviating terms of the customer only apply if we expressly agree to them in text form.
§ 2 Services
(1) Saldiqo is browser-based software for creating quotes, invoices and e-invoices, reading received e-invoices, importing bank statements and matching payments, recording expenses and receipts, preparing tax returns, a help centre with customer requests (helpdesk) and working together in a team, across several companies and with a tax adviser. The service also includes the savings check (§ 5(1)). The website describes the current scope.
(2) No advice. Saldiqo does not give advice on tax, legal, insurance or financial matters. Reports, tax calculations, default settings, savings check hints and suggestions from the AI assistant are aids that the customer checks before using them. The customer is responsible for the tax and legal correctness of their documents and returns.
(3) We continue to develop the service and may change features as long as its core purpose is preserved and the change is reasonable for the customer. If an essential feature is removed, we will inform the customer in advance in text form.
(4) Saldiqo notice. Documents the customer creates with the service carry, by default, a short notice at the bottom that they were issued with Saldiqo (for example “Invoice issued with Saldiqo”). The customer can switch this notice off at any time in the design settings without losing any other feature. Emails the customer sends through the service show their company’s name with the addition “via Saldiqo” as the sender name.
§ 3 Account and conclusion of contract
(1) The contract is concluded when the customer registers and accepts these terms. Each person has their own account; sign-in details may not be shared. Several companies can be created with one account, and further people can be invited with roles.
(2) The information given when registering must be true and complete. Disposable addresses and several accounts of the same person to get around limits of the service are not permitted. Sign-in details must be kept secret. If there is a suspicion that unauthorised persons have access, the customer changes their password and informs us.
(3) People whom the customer invites to their company create their own account and also accept these terms. Within the company they act on behalf of the customer. The customer is responsible for their actions in the company and assigns roles and rights themselves.
(4) Process and contract text. The customer enters their details step by step in the registration assistant and confirms with a checkbox the declaration under § 1(2) and (3) and these terms including the data processing agreement. With “Back” they can return to earlier steps and check and correct all entries before submitting; the assistant points out missing or invalid entries. With the button in the last step (“Finish setup”, for an invitation “Accept”) they make their offer to conclude the user agreement; the contract is concluded when we create the account. The customer then receives an email to confirm their address. These terms are available in German and English; the German version is binding. The customer can retrieve, save and print them when registering and at any time on our website. We store which version the customer accepted and when, and we keep earlier versions. On request to contact@saldiqo.com we send the customer the version they accepted in text form. There are no codes of conduct to which we have submitted.
§ 4 Free use and financing
(1) Use is currently free of charge.
(2) We finance the service among other things through partner offers (§ 5(2)): if the customer requests a partner’s offer through Saldiqo, the partner may pay us a fee for it. We also measure the success of our advertising on the public pages of the app, with consent. Use of the service does not depend on the customer requesting partner offers, keeping the savings check switched on or giving consents.
(3) If we introduce paid plans, we will announce this at least six weeks in advance in text form. Use only becomes chargeable once the customer expressly agrees to a plan. If they do not agree, either party may terminate the contract with effect from the date of the change; until then the customer can export all of their data.
§ 5 Savings check and other features
(1) Savings check. The savings check is included in the service. For the company the customer creates when registering, it is switched on from registration; for further companies, owners and admins can switch it on themselves. For it, Saldiqo automatically analyses, every week, the company’s expenses and bank transactions and shows hints where it probably pays too much. Saldiqo acts as a processor under the data processing agreement (§ 9(4)): switching it on from registration is a documented instruction of the customer, switching it off is a counter-instruction. The customer gives this instruction by confirming these terms at registration (§ 3(4)); there is no separate declaration or separate notice about the savings check at registration. We store which version of these terms the customer agreed to. The hints are based on fixed rules and estimates, are non-binding and come without guarantee; there is no entitlement to particular hints. Hints may be combined with offers from partners, which are marked as advertising (para. 2). The customer can object to the savings check at any time without giving reasons and switch it off: on the “Savings check” page in the app, via the notification about the right to object or in the profile; they can switch it on again in the profile. We point out this right in a separate notification at the latest with the first savings check communication. If the customer received the savings check from registration and switches it off, it ends for all companies of which they are the owner, even if an admin switched it on. All other features remain usable unchanged. People who create an account via an invitation do not have the savings check switched on.
(2) Partner offers. Only if the customer requests an offer themselves and agrees to sharing with the partner named in the process do we pass name, email address, phone number, company name and topic on to a partner, who then contacts them. Any contract for an offer is concluded solely between the customer and the partner; we do not become a party to it, do not broker specific products, give no advice and give no guarantee for partners’ offers, services or prices.
(3) Newsletter. We do not currently send a newsletter. If we introduce one, only those who have given separate consent will receive it.
(4) AI assistant. The AI assistant is currently not available. If we make it available, owners and admins can switch it on for a company. It answers questions and suggests changes, which are only carried out once the person confirms them. Answers may be wrong and must be checked before use; in the app they are labelled as answers from an AI. If the customer publishes texts generated with the assistant to inform the public on matters of public interest, they comply with the obligations under Art. 50(4) of the AI Regulation themselves.
(5) Consents, for example for sharing with a partner, are voluntary and can be withdrawn at any time in the profile. Details on data processing, including the savings check and how to switch it off (objection), are in the privacy policy.
§ 6 Availability
(1) We strive to keep the service available at all times. While use is free of charge, we do not owe any particular availability. We carry out maintenance outside normal business hours where possible and announce longer interruptions in advance where possible.
(2) We may temporarily restrict access in whole or in part if this is necessary for the security or stability of the service, for example in the event of attacks or misuse. Usage limits apply to costly features or features prone to misuse.
§ 7 Customer obligations and acceptable use
(1) The customer uses the service only in accordance with the law. They do not store or send unlawful content and do not infringe the rights of third parties.
(2) Through the service, they only send documents and messages to recipients with whom they have a business relationship. Advertising emails and mass unsolicited messages through the service, including through the help centre, are not permitted.
(3) The customer needs a legal basis for the personal data of their customers, suppliers and employees. If they offer a help centre, they provide their customers with the necessary information of their own (for example legal notice and privacy information).
(4) The customer checks documents before finalising and sending them. Finalised invoices can only be changed by means of a correction or cancellation.
(5) The customer fulfils their statutory retention obligations themselves. To do so, they regularly export their data (for example as CSV, DATEV export or encrypted backup) and keep it in a way that they can read it without the service.
(6) The customer may not use the service in a way that endangers its security or stability. In particular, the following are not permitted: uploading malware, circumventing protective measures and usage limits, automated mass requests or systematic scraping, and accessing other people’s accounts or companies.
(7) If the customer breaches these obligations, we may remove the content concerned and temporarily block access. As a rule we point out the breach first; in the case of serious breaches or danger to others also without notice. § 10(4) remains unaffected.
§ 8 Template market and user content
(1) In the template market, customers can publish their own design templates for documents and rate and comment on templates. Published templates, comments and the short name (first name and first letter of the last name) are visible to all signed-in Saldiqo users.
(2) The customer only publishes content for which they hold the necessary rights. Templates, names, descriptions and comments may not infringe third-party copyrights, trademarks or personality rights and may not contain real customer data or other personal data of third parties, advertising or unlawful, offensive, discriminatory or misleading content.
(3) By publishing a template, the customer grants all Saldiqo users a free, simple (non-exclusive) right, unlimited in time and territory, to use and adapt the template for their own documents. The customer grants us the right to display the template in the service and to reproduce it technically for this purpose. If the customer deletes a template, users who have already adopted it may continue to use it.
(4) We do not review content in advance. We may remove templates and comments or restrict their visibility if they violate paragraph 2, these terms or the law. Such decisions are taken by a person, not by an automated system. We inform the customer concerned in the app and by email, stating the reasons, unless the law permits otherwise. The customer can object to the decision within six months of being informed by email to contact@saldiqo.com; we will then review it again and tell them the outcome.
(5) Anyone can report unlawful content or breaches of these rules using the “Report” function on the template or comment in the app or by email to contact@saldiqo.com. The report should identify the content precisely, explain why it is unlawful or breaks the rules, and confirm that the information is correct to the best of the reporter’s knowledge; a report by email should also include the name and email address of the person reporting. We confirm receipt with a reference number, review the report promptly and communicate the outcome. The person reporting can also object to the decision under paragraph 4. As a rule, we do not tell the person concerned who reported. To prevent misuse, we accept at most ten reports per account and day in the app; further reports are always possible by email.
(6) Every customer can hide other users for themselves (“Hide user”). They then no longer see that user’s templates and comments (under their own templates only collapsed, so that they can report them), that user no longer triggers notifications for them and cannot comment on their templates. This only affects the customer’s own view, is not a decision by us and can be undone at any time; the hidden user is not told about it.
(7) The customer indemnifies us against third-party claims based on content they have published and for which they are responsible, including reasonable costs of legal defence.
(8) Public content in the help centre. If the customer offers a public help centre, its content (for example help articles, titles and welcome texts as well as pages for accepting quotes) can be accessed by anyone who knows the address. The customer is responsible for this content; paragraphs 2 and 7 apply accordingly. Anyone can report unlawful content in the help centre by email to contact@saldiqo.com or via “Report content” in the footer of every page of the help centre. Paragraphs 4 and 5 apply accordingly to the report, review, decision and objection. If we block or remove content, we inform the customer, stating the reasons.
(9) Point of contact. The single point of contact for authorities of the Member States, the European Commission and the European Board for Digital Services (Art. 11 of Regulation (EU) 2022/2065, “DSA”) and for users of the service (Art. 12 DSA) is the email address contact@saldiqo.com. You can also reach us through the contact form at app.saldiqo.com/kontakt. Requests are answered by people, not only by automated systems. Languages: German and English.
§ 9 Customer data, export and deletion
(1) The data that the customer stores in the service belongs to them. We only use it to provide the service to them, for the savings check only for companies for which it is switched on under § 5(1) and not switched off, and for other additional features only if they have switched them on.
(2) The customer can export their data at any time, for example as CSV, DATEV export, e-invoice, JSON or encrypted backup.
(3) The customer can delete individual companies and their account in the app at any time. Deleting the account deletes all companies of which the customer is the owner; in other companies their membership ends. Deleted data cannot be restored; the customer exports it beforehand.
(4) Insofar as we process personal data on behalf of the customer, the data processing agreement applies. It forms part of these terms. How we process the customer’s own data is described in the privacy policy.
§ 9a Switching providers and data portability (Art. 23 to 31 Data Act)
(1) The customer can at any time request to switch to another provider or to their own systems, or only to export their data and then have it deleted. They make the request in text form to contact@saldiqo.com. The customer determines the period until the switch begins; it is at most two months. If they do not state a period, the switch begins immediately.
(2) The period is followed by a transitional period of at most 30 calendar days. During this time the contract continues to apply and we provide reasonable assistance to the customer and third parties authorised by them with the switch, continue to provide the service, inform them of known risks to continuity and also ensure the security of the data during the transfer. If the switch is technically not feasible within this time, we inform the customer within 14 working days of the request, stating the reasons, and name another transitional period of at most seven months. The customer can extend the transitional period once.
(3) Owners and admins of a company can export all data entered or generated in the service for that company, in particular the company’s master data, contacts, items, quotes, invoices, reminders and e-invoices, receipts and uploaded files, bank accounts, transactions and payments, expenses, requests and content of the help centre, settings and designs as well as the company’s change log. Formats are a complete export of the company data as JSON, CSV, DATEV format, e-invoice (XML) and PDF. The following are not stored in the company’s database but with us, linked to a person’s account: published templates, ratings, comments, reports and hidden users in the template market, records of confirmations and consents, own partner requests, notifications and the campaign source details. This data is not included in the company export; each person can download it for their account as a JSON file in their profile under “Export my data”.
(4) Data that only serves the internal operation of the service and whose disclosure would endanger the security of the service or trade secrets is not exported: password hashes, keys, session data and security and operating logs. This does not hinder or delay the switch.
(5) After the end of the transitional period, the customer can still retrieve their data for at least 30 calendar days. After that we completely delete all exportable data; section 9 of the data processing agreement applies to backups.
(6) The contract ends, and we notify the customer of this, when the switch has been completed or, if the customer does not wish to switch but to have their data deleted, at the end of the period under paragraph 1.
(7) We do not charge any fees for switching, export or deletion.
(8) The company export is a JSON file that contains every table of the company database with all columns (except the internal key of the help centre); files are included in it as Base64. We describe the procedures, formats, data structures and limits of the export to the customer in text form on request to contact@saldiqo.com. The servers on which the service runs are located in Frankfurt am Main, Germany and are subject to the law applicable there. They are operated by Hostinger International Ltd., 61 Lordou Vironos Street, 6023 Larnaca, Cyprus, a company established in the European Union. Our measures against unlawful governmental access from third countries (Art. 28 Data Act) are described in Annex 1 of the data processing agreement, in particular the encryption of each company database with its own key.
(9) If the customer deletes their account or a company themselves in the app, the periods under paragraphs 1, 2 and 5 do not apply; the data is then deleted immediately (§ 9(3)). Anyone who wishes to use the periods makes a request under paragraph 1 instead.
§ 10 Term and termination
(1) The contract runs for an indefinite period.
(2) The customer may terminate at any time by deleting their account in the app or by writing to us in text form.
(3) We may terminate with four weeks’ notice in text form.
(4) The right to terminate without notice for good cause remains unaffected. For us, good cause exists in particular if the customer is a consumer, has given false information or violates § 7 or § 8 despite a warning.
(5) If the contract ends by termination in text form (by us or by the customer), the customer’s account remains in place until the end of the contract and for at least 30 days afterwards so that they can retrieve and export their data; § 9a remains unaffected. After that we delete it in accordance with the data processing agreement.
§ 11 Liability
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee we have given.
(2) In the case of slight negligence, we are only liable for the breach of essential contractual obligations, meaning obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the customer may regularly rely. Liability is then limited to the foreseeable damage typical for this kind of contract.
(3) As long as use is free of charge, and notwithstanding paragraph 2, we are not liable for slight negligence; paragraph 1 remains unaffected.
(4) For loss of data, we are only liable up to the effort that would have been necessary to restore it if the customer had made regular backups (§ 7(5)).
(5) We are not liable for offers, services and conduct of partners (§ 5(2)) or for content that other users publish in the template market; paragraph 1 remains unaffected.
(6) These limitations also apply to our employees and agents.
§ 12 Changes to these terms
We may change these terms if laws, case law or the service change. We will inform the customer in text form at least six weeks before the changes take effect. If the customer does not object before then, the new terms apply. We will point out this consequence and the customer’s right to terminate in the notification. Price changes are governed solely by § 4(3). A change to these terms neither grants nor extends any consent; we ask for that separately. For customers who registered before the savings check was included in these terms, a change does not switch the savings check on.
§ 13 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is our registered office.
(3) Should any provision be invalid, the remaining provisions remain valid.
